Description

The average M&A deal demands a lot of time and energy from the deal teams or the management on both sides. Whilst the champagne corks may pop on completion of a transaction, that’s not the end of the process; in fact, it’s usually where the hard work begins. For technology and digital media companies, much of the due diligence and integration process after completion will focus upon the target’s infrastructure and its intellectual property. Guest speaker Andy Knapp of Black Duck Software will talk about open source issues which may be revealed during a due diligence exercise and practical advice on identifying the origins of code and having an open source strategy. Head of Kemp Little’s IP group, Paul Garland, will deal with identifying and analysing the key intellectual capital. Corporate partners Charles Claisse and Andy Moseby will also discuss how to make the M&A process as smooth as possible, how best to protect the value of the target company for the buyer and the due diligence issues all buyers look for.
