生活癮型人『如何打造文創產業的IP思維及變現策略』你從事文創工作或正準備投入文創產業嗎？
「文化創意產業」並不是文青的專屬，大至電影、流行音樂、創意產品設計、小至IG上的插畫、Youtube的影片、甚至LINE貼圖都是屬於文創的一種形式。在擁有了創作之後，該如何規畫才能將IP變現，需要知道的不僅僅是著作權法規，在做IP授權的過程中，你需要具備哪些商業思維？授權合約又該如何談判，才能將利益最大化呢？
今天我們邀請在專利商標法律事務所及文創企業端都工作過的Ada，來跟我們聊聊文創產業的變現策略及輔導經驗。
Q1.文創產業的變現模式有哪些？該如何找到自己的定位？
文創產業的變現，基本上我們可以分為自製模式及授權模式，自製模式指的是自己創作、自己生產產品、自己推廣銷售，都是自己一條龍處理，這最具代表性的是霹靂布袋戲；那麼授權模式指的是將智慧財產權授權給他人進行生產產品、推廣銷售，最具代表性的是三麗鷗的Hello Kitty、迪士尼。
在文創產業裡面，最重要的是內容是否有原創性、獨特性，以及最重要的是有沒有市場性。簡單來說，如果一個有原創性及獨特性的IP，但沒有市場性，也無法創造出這個IP的價值，就是曲高和寡、孤芳自賞。因此找到IP自己的定位很重要，舉個例來說，這個IP是要讓哪些TA可以喜愛，這群TA是否有黏著性、是否願意花錢，這些必須針對每個IP不同特性來深入了解。
先前的文博會，裡面有許多台灣的本土品牌，原創設計卻很雷同，像是用小狗來做創作發想，創作出來的狗狗品種相同，像是哈士奇、法鬥等，但創作出來的內容同質性就很高。這就會產生前面我們所說的問題，作品是否能夠跟市場呼應，還有粉絲是否可以積累沉澱，以及粉絲是否有高黏著度，並且是否有轉化變現能力。
Q2. 現在Youtube有很多的說書人，還有人經營部落格，將網路上的文章轉貼到自己的部落格上獲取流量，賺取廣告收入，以及很多做影評的影片，像前兩年轟動一時的X分鐘看完X電影，引起影片二次創作的討論，關於這幾個部份，對於有在經營個人品牌的人來說，是否有哪些注意事項呢？是否我有註明「圖文來自於網路，版權歸原作者擁有」就能免責呢？
有一個基本原則教給大家知道「不是屬於自己的創作，就必須要取得授權。」，無論是轉貼分享或是進行衍生創作，都必須要經過著作財產權人同意，或是經過取得授權人的同意。例如說使用圖庫的圖片，必須像圖庫商購買，但在購買的時候，務必清楚理解可以使用的方式、宣傳推廣的管道、授權年限是永久還是多久年限呢。
而RUBY所提到的，是否我有註明「圖文來自於網路，版權歸原作者擁有」就能免責呢，原則上沒有取得著作財產權人同意就進行利用，基本上就是屬於侵害著作權行為，是否有符合著作權法合理使用，則必須單就個案進行判斷。提醒一下大家，台灣的著作權法是有刑事責任的，使用任何著作，請記得務必要取得授權。
現在FB上有很多影片都是用所謂的X分鐘看完X電影，因為會使用到電影內容，並將電影內容透過口述方式表達這都是屬於衍生著作，就是現在一般所說的二次創作，先前在新聞報導可以看到，是有知名的youtuber因為沒取得電影發行商的授權，而被提起侵害著作權的刑事告訴，雖然最終也是以和解收場，不過還是要提醒大家「不是屬於自己的創作，就必須要取得授權。」的大原則喔。
Q3.針對已經有設計完稿，如果想做商品募資，在商標及商品募資階段需要有哪些準備工作及該注意的法規呢？（可以舉你輔導公仔的案例）
在這個部分我們可以分成兩大塊來看喔!一塊是與募資平台合作前期的準備階段、一塊是與募資平台合作階段。
在創作、研發過程中，需要事前掃雷及佈局規劃，就像上戰場前需要穿戴好盔甲，也必須要確認前線戰況，建議做三件事情，
1. 創作過程保護，主要證明創作確實是由著作人創作，例如可用設計原始檔案，創作手稿，上面必須要有創作日期、創作人、作品名稱。
2. 品牌商標保護，就是針對預計對外推廣的商品，確認要打的品牌行銷及產品行銷會使用到的商標，正式申請註冊商標。
3. 申請專利保護，此部分就需要評估商品是否有申請專利的必要性，也確認有無會涉及到侵權別人的專利權。
與募資平台合作需要先了解整個募資流程，從商業模式中逐一確認雙方合作的商業條件，以一個公仔作為募資商品，需要談到的內容包含：授權年限、授權地區、授權金及分潤方式、募資每個階段要做的事情（例如達多少人就可進行開模）等。
Q4.除了侵權事件之外，文創產業容易碰到的法務問題還有哪些？（我猜是IP授權合約問題）
文創產業最容易碰到的問題，可以分成三塊，智慧財產權管理、智慧財產權授權合約及智慧財產權維權
這部分就必須要討論到所謂的智慧財產權管理，三個部分，就是管理、保護及應用：
1. 在管理的部分，必須先確認擁有的智慧財產權有哪些，在這過程中可以製作智慧財產權明細清單等。
2. 在保護的部分，像是著作權就會著重在如何確認保護創作過程，對外有智慧財產權聲明及標示。
3. 在應用的部分，對外授權如何提供最佳授權方案，授權範圍給得剛剛好，不會太大的授權範圍來影響日後其他商業發展機會，不會太小的授權範圍來影響被授權人的利用推廣。
我們舉個例子來說，圖文作者的創作，就必須記錄創作完成時間及保留原始檔案，包含草稿、線稿、色稿、完稿等，或者考慮是否申請著作權登記，但仍要強調，著作權是創作完成即可享有，著作權登記只是方便舉證創作完成日期，在對外授權或公開使用的時候，可以加上智慧財產權聲明，加上©這樣的標示。
比較容易討論的法務問題，通常比較常面臨的是智慧財產權的授權合約或維權，
1. 智慧財產權的授權合約，會討論到包含授權給他人使用，以及向他人取得授權，這些內容也是離不開前面有提到的授權年限、授權範圍、利用方式、授權金及分潤方式等。
2. 在智慧財產權的維權部分，權利人的維權策略是甚麼?是希望透過談判授權給侵權人創造雙贏，抑或透過司法啟動民刑事訴訟程序，來主張保護權益及請求損害賠償。
Q5. 針對音樂、戲劇及藝術類的創作部份，在談IP授權的過程中，聽說對接的窗口及商業談判過程都會比一般的產品複雜很多是嗎？（可以談你酷狗或是藝人經紀的案例，例如說曾經遇過什麼問題？或這類授權通常談判主題都是涉及哪些？）
是的，因為在音樂、戲劇及藝術類創作，除了涉及著作權法外，也會涉及到經紀面向的合作內容，真正的複雜的是每個案子執行上的細節不同，需要約定在合約裡面，並且需要就這些細節進行談判協商，是否需要讓步或是有其他替代方案。
例如說合作時間及授權時間是從甚麼時候開始起算、授權標的圖檔交付時間、使用範圍，甚至是包含會在哪些媒體渠道曝光，曝光量有無要求等等。如果合作對象是以人為重點，就必須考量到，在執行上有哪些細節是特殊需求。
簡單來說，通常合作希望得到的效益不外乎是金錢、宣傳效果及其他利益，因此在談判過程中，都必須三不五時提醒自己莫忘雙方合作初衷。以音樂、戲劇及藝術類創作來說，如果為新人，一般通常會顧及宣傳效益為主軸，金錢考量可能為次要，在談合作過程中宣傳效益可以多去跟對方爭取宣傳推廣曝光資源。
Q6.文創業進軍國際市場該具備的思維有哪些？
因為文創業範圍很廣，依照台灣的文化創意發展法就包含列舉15個產業(包含流行音樂、電影、廣播電視、視覺設計等)，進軍國際市場這範圍也很廣，是要進軍中國大陸，還是美國、歐洲。
因此，首先必須對產業的基本模式及國際商業習慣先有一定了解，再來需要了解當地市場的文化及背景，是否可將商品融入在地，就是俗話說的接地氣。因為很多的失敗案例，主要來自水土不服的原因。
我們舉個例子來說，
了解產業的基本模式的例子，好萊塢拍電影會有一個完片擔保機制，類似投資方為自己買一個保險確保電影項目可以完成，如電影項目沒有完成投資方也可以拿回投資款。但這完片擔保機制在台灣卻是沒有的。
第二個例子當地市場的文化及背景了解，像是影視劇的作品，所用的台詞對白必須要接地氣，接地氣的意思是通俗在地化，這樣觀眾才能引起共鳴了解劇中要傳達的意思。
Q7.你以前服務過的企業幾乎都有橫跨兩岸的業務，大陸現在的工作思維跟台灣有什麼不同？
還沒有去大陸之前，我的工作思維會比較偏向，甚麼都要作好準備確定可以十拿九穩再出手。經過大陸工作歷練後，讓我學習到凡事沒有準備好的時候，等所謂準備好時，機會就已經錯過了，但事情也不可以為了求快就做的粗糙。現在我處理事情的方式，鎖定目標後，經過評估判斷，大約有五六成的把握時，就出手去做，邊做邊調整邊修正，增加彈性靈活應變，也避免沒有與實際情況對齊的情況發生。
Q8.現在聽說有很多AI智能創作出來的作品，關於AI創作的作品，在相關的智慧財產權領域又是如何規範及保障呢？
其實在著作權法上必須是人(就是自然人跟法人)才能創作，AI並非人，而是人透過AI作為工具來進行創作，AI也是透過人類的大數據匯集而成的人工智慧，並非是真正所謂的人來創作，目前在實際的見解，也是認為只有人才能成為著作權人。我舉另一個例子，就像猩猩、大象來創作，因為猩猩、大象為民法上的”物”，並非自然人與法人，故不受著作權法保護，而如果要申請商標、專利，也都是必須由人才能申請。
