天下文化‧相信閱讀【丁學文的財經世界】EP61 | 光陽集團與Harley Davidson哈雷機車戰略合作，將以SPAC方式在紐約證交所上市。/ 聯準會宣佈將縮減購債，預計明年3月結束量化寬鬆 (QE)一週財經聚焦 一、繼9月中Gogoro宣佈與Poema Global達成併購協議，正式合併完成後Gogoro為存續公司，在美國納斯達克上市之後，12月13日台灣光陽集團也宣佈與美國Harley Davidson哈雷機車公司完成戰略合作，將以SPAC方式在紐約證交所上市。台灣機車產業好不精彩，怎麼解讀這個項目？ 國際媒體相關報導 ●Forbes富比世雜誌：〈Harley’s ‘LiveWire’ Electric Motorcycle Brand To Go Public In SPAC Deal With KYMCO〉(哈雷的「LiveWire」電動摩托車品牌，將在與光陽的SPAC交易後上市。) ●CNBC：〈Why Harley-Davidson's EV motorcycle LiveWire is getting its own stock〉(為什麼哈雷的電動摩托車「LiveWire」將正式展開自己的道路) ●The Wall Street Journal華爾街日報：〈Harley-Davidson’s Electric-Vehicle Division to Go Public Via SPAC Merger〉(哈雷戴維森的電動汽車部門，將通過SPAC合併上市) 分析解讀 首先，我想在台灣長大的人都知道，台灣的機車密度居世界之冠，台灣的機車更是台灣小確幸不可缺的一環；但大家可能不知道，台灣的汽車與摩托車產業鍊其實勇冠全球，否則Tesla的第一款車Roadster也不會在台灣林口問世。 今天，台灣的Kymco和Gogoro能夠在這個電動車時代兵家必爭的領域，競逐全球電動機車第一家成功上市的寶座，確實值得我們與有榮焉。這讓我想起今年東京奧運，我看見台灣男雙羽球「麟洋配」，刷新台灣在奧運上的最佳總奪牌紀錄的感覺。 我說過好幾次，疫情揮之不去確實煩人，但現在確實是台灣產業有史以來，最有機會與能力走出台灣的機會，不只是我們本來就擁有自己都不知道的實力，更因為現在的台灣credibility正處於全球地緣政治夾擊中最頂峰的階段，這是老天爺賞給台灣的一口飯，我們就應該充滿自信，當仁不讓地大口吃下去。 曾經，機車常被視為移動汙染源，但隨著乾淨能源成為潮流，電動機車也找到重生機會，也被認為是未來最佳智慧化、綠能解決方案，就連印度的摩托車品牌TVS也宣布，將與BMW聯合開發電動摩托車。 疫情爆發以來，電動車相關產業，尤其特斯拉的一飛沖天，讓電動車的發展勢不可擋，而氣候變化更是催生各國政府政策補貼的重要因素，這讓傳統機車製造商在轉型壓力下，紛紛展開相互結盟。除了先進技術之外，怎麼和各個區域的合作夥伴結合，累積更多使用者經驗，已經變成後續兩年最精彩的所在。 這次，百年機車大廠哈雷旗下的電動車子公司LiveWire決定與台灣機車龍頭光陽攜手合作，透過SPAC方式，推進紐約證交所（NYSE）的IPO掛牌，這是一個非常漂亮的電動機車國際戰略合作案。併購後的新品牌LiveWire，將成為美國第一家掛牌上市的電動機車品牌，而光陽也有機會將KYMCO的品牌推向世界。 今天我想分三個層面，分別是：產業、資本運作以及對台灣後續的啟發，討論這個議題。 1、產業 這個投資案對光陽集團來說，除了成功讓台灣產業躍上國際舞台，還能在技術共享與股權增值上大有斬獲，並進一步成為全球電動機車的第一品牌，其象徵意義無比巨大。 事實上，哈雷在2019年就讓切割了電動機車部門LiveWire，可以看出發展電動機車的企圖心。哈雷總裁Jochen Zeitz更說，LiveWire 將會與光陽結合成兼具靈活與規模的戰略夥伴。哈雷機車擁有118年傳統，透過與光陽的戰略合作，受益於光陽的技術專業、製造能量、經銷網路、供應鏈基礎建設、全球物流能力等優勢，參與哈雷在全球的布局，加速摩托車電動化的全球轉型趨勢。 2、資本運作 在發展前景之外，外界更好奇，穩居台灣機車龍頭21年的光陽，如何與哈雷談成這次看來國際地位不對等的合作？ 事實上，去年光陽以3000萬美元入股東南亞共享乘車獨角獸Grab，協助台灣電動車產業供應鏈打入東南亞市場，就證明台灣產業確實有成為全球電動機車策略合作夥伴的能力。哈雷的項目，就是Grab雙軌戰略的再升級。 談判的過程相當複雜，除了雙方交涉的領域涉及了不同的法律、產業、投資、策略結盟、知識產權IP與上市IPO準備之外，還涉及了投資銀行與產業間的投資談判，確實比一開始想像的複雜多了。 3、後續啟發 大家有所不知，台灣的汽車廠競爭力雖然不強，但二輪機車的國際競爭力其實有目共睹，且不管是四輪或是二輪的供應鏈，都頗具世界水準；台灣唯一欠缺的就是戰略談判以及資本運作的能力。怎麼搭建一個既懂資本、更懂產業的「有機綜合體」，將是台灣產業晉升國際市場的關鍵。 而讓光陽和哈雷取得結盟共識的關鍵，我認為還是在於雙方合作後，在佔領全球電動機車制高點的完美匹配。哈雷機車的製造工藝無可厚非，但在軟體、電池、充電與更換電池等方面，光陽集團可以補足技術。更重要的是，哈雷急著尋求讓LiveWire成功上市的完美拼圖，而SPAC的投資人更在意的是掛牌後的故事。雙方結合之後，得以憑藉著各自的優勢，提高電動機車成功的機會。 這項合作，更讓光陽開始走一條與台灣產業界過往發展完全不一樣的道路。 眾所周知，過去台灣產業大都專注代工，所以在面對國際大品牌時習慣扮演賣方角色，在利潤極低的情況下，只能想方設法爭取擴大訂單。而透過此次合作，現在華爾街，甚至全世界都聽到了「KYMCO」的故事，這是台灣走出國際，創造自己品牌的最好機會。「台灣的產業基礎當然很好，但我們不能一直做著代工製造，這會讓台灣的下一代在大陸、印度、東南亞的競爭下越來越辛苦。」 而對光陽來說，這一次與哈雷攜手，除了技術提升、與哈雷共享研發之外，還能扮演ODM角色、並以股東身份分享股權增值，更重要的是還能參與戰略部署，並擁有一定的話語權。與其說是合作，其實是讓光陽與哈雷的二輪電動機車拼圖更加完整。 當然，上市最重要的是股價，股票投資人看的是未來，這部份就讓我們拭目以待；而光陽與哈雷的攜手，不管是大、小功率的機車產品、品牌沈澱一個都不缺，更重要的是全球涵蓋的故事相當完整。 另外，台灣產業界一直面臨著轉型、二代接班，以及人才培養的問題，年輕人需要的是更大的舞台，光陽與哈雷的合作希望能夠拋磚引玉，讓更多的台灣產業更有信心走上國際舞台，如此一來，台灣的年輕人才有更廣闊的發展空間。 二、美國聯準會宣佈今年最後一次貨幣政策決議，將縮減購債 (Taper) 幅度加倍至每月300 億美元，從1月開始每月購買600億美元的債券，預計明年3月結束量化寬鬆 (QE)。此外，也預期2022年將升息三次，看來政策已經更趨鷹派，以對抗居高不下的通膨。 國際媒體相關報導 ●Financial Times倫敦金融時報：〈Traders bet Fed will not raise rates as aggressively as forecast〉(交易圈押注，美國聯準會不會像預期的那樣激進地加息) ●Bloomberg彭博新聞社：〈Fed Doubles Taper, Signals Three 2022 Hikes in Inflation Pivot〉(美國聯準會加倍縮減，並暗示2022年通脹樞軸將進行三次升息) ●The Wall Street Journal華爾街日報：〈The Federal Reserve could make a mistake by tightening too aggressively, but even worse would be a Covid-19 outbreak that takes tightening off the table〉(美國聯準會可能會因過於激進地收緊而犯錯，但更糟糕的是，Covid-19的爆發，可能會讓他們取消收緊) 2021-12-2113 min

天下文化‧相信閱讀EP46 | 新加坡將允許「SPAC」掛牌上市，在亞洲主要金融市場中創下首例，該如何看待SPAC未來發展？ / 美國8月份就業數據不佳，看來經濟情況確實不如預期。停滯性通貨膨脹會不會真的來臨？一週財經聚焦 一、9月2日，新加坡將允許所謂「SPAC」(空白支票公司)掛牌上市，在亞洲主要金融重鎮中創下首例，也再一次敲響了這本追逐戰的戰鼓。怎麼看待SPAC發展狀況？ 國際媒體相關報導 ●Financial Times倫敦金融時報：〈Singapore exchange to allow Spac listings〉(新加坡交易所允許Spac上市) ●CNBC：〈The fall of the SPAC market has digital media companies in disagreement about best path forward〉(SPAC市場的下滑，讓數位媒體公司在最佳前進道路上存在分歧) ●New York Times紐約時報：〈A SPAC Counterattack〉(一個SPAC的反擊) 分析解讀 不管Delta怎麼肆虐，不管各國經濟何去何從，不管會不會有通貨膨脹…..過多的資金仍然在追逐過少的未來項目。雖然美國SPAC看似放慢了速度，但亞洲資本市場的熱度仍然方興未艾。 大家都知道SPAC其實行之有年，這兩年突然異軍突起其實其來有自，就是資金太過浮濫。從你必須戰戰兢兢把企業做好才有資格遞交上市，到如今先給你一張空白支票再開始思考怎麼幹企業，後續的各種匪夷所思還將層出不窮！ 這就是為什麼Delta仍在肆虐，新加坡交易所（SGX）卻還是頂著逆風，公佈了SPAC新規定。但是，與此同時，美國主管當局卻正加強監管這類投資工具。 其實星交所在3月啟動公眾諮詢過程，歷經數月徵詢投資公司、銀行、律師等方面的意見後，如今訂出一套管理架構，對原先的規章草案做出一些修正。星交所法規監管部門執行長陳文生（Tan Boon Gin）說：「我們希望這種SPAC程式能吸引優質目標公司來SGX掛牌，提供投資人更多選擇與機會。」也就是，他希望全球資本能前進新加坡，使其成為金融中心。 眾所周知，SPAC是一種沒有營運業務的空殼公司（shell company），成立後，先透過首次公開發行股票（IPO）募集資金，然後物色有前景的未上市公司並加以收購，形同讓被併購的公司借殼上市。 支持者宣稱這比IPO更有效率，前些時候在華爾街蔚為風潮，但自從今年4月美國證管會（SEC）對SPAC採取更批判的態度後，已冷卻這股SPAC熱潮。 如今，新加坡成為亞洲第一個允許空白支票公司上市的重要金融中心。儘管韓國和馬來西亞也都允許SPAC上市，但根據Dealogic數據，這兩個國家已多年沒有一樁SPAC交易。 修改過後，新交所的SPAC市值門檻與美國標準更加一致。新交所表示，一方面要吸引高質量發起人，一方面要確保未來與SPAC合併的企業維持一定規模，對上市SPAC的最低市值要求，在這兩者之間取得平衡。 具體來看，新交所的SPAC框架主要涵蓋以下特點： 1.SPAC上市時市值不可低於1.5億新元。 2.SPAC必須在上市後的24個月內完成併購交易。如符合相關規定條件，期限可延長最多12個月。 3.在SPAC上市到併購交易後六個月內，發起人股份處於鎖股期。 4.根據SPAC的市值規模，發起人必須在SPAC上市時認購不低於2.5%至3.5%的股份（股票、單位或認股權證）。 5.只有獲得過半數獨立董事的批准和過半數股東的投票支持，才能進行併購交易。 6.股東所持有的認股權證可以與普通股分離，認股權證行權導致的股東稀釋影響不得超過50%。所有獨立股東均享有贖回權。 值得注意的是，新交所放行SPAC的大背景，是去年至今年一季度華爾街曾掀起一股SPAC熱潮；但隨後美國證券交易委員會(SEC)更具批評性的態度，已導致SPAC上市速度放慢。 4月12日，SEC表示正在制定一項新的指導方針，此前向早期交易投資者（如空白支票公司）發放的認股權證將不再被視為權益工具，同時從會計角度而言，認股權證可能從此前股本轉為負債。這種潛在的會計規則變更可能會對SPAC市場造成巨大打擊，SPAC審查要求低、速度快的優勢可能會蕩然無存。 一系列監管重拳，果然讓美國SPAC熱潮退卻。Dow Jones Market Data對SPAC Research數據所做的分析顯示，在2月中旬以前完成合併的137家SPAC的總市值已經蒸發25%，一場廣泛的拋售已經把藉助SPAC上市的公司市值抹去了約750億美元，上個月市值回落幅度更是一度超過1000億美元。這項分析不包括到2月中旬尚未完成合併的公司，也不包括已經退市的公司。在已經宣佈合併但尚未完成交易的SPAC中，約75%的股價低於上市價格。 但不可否認，在美國以外，不少地區仍對SPAC展現了不小熱情。7月27日英國宣佈放寬SPAC上市規則，以藉此吸引更多SPAC上市。 英國金融市場行為監管局(Financial Conduct Authority)表示，將不再要求SPAC在披露交易計劃時暫停上市，這一規定被視為推動SPAC在英國上市的信號，同時SPAC在首次上市時需要籌集的最低金額，也從2億英鎊降低到1億英鎊。 同期，一隻追蹤近期通過首次公開募股(IPO)上市的公司的交易所交易基金(ETF)下跌12%，道瓊斯指數則上漲13%。 像貝萊德(BlackRock Inc., BLK)和富達投資(Fidelity Investments Inc.)這類企業管理的基金，以及許多對沖基金、養老金管理公司和其他一些投資者，都在SPAC的回落中遭受了衝擊，他們在去年年底開始的熱潮中競相投資SPAC，而美國的SPAC表現欠佳。 一些投資者說，今年夏天SPAC被打回原形是一個不可避免的結果，許多與SPAC合併的公司收入很少，卻有數十億美元甚至更高的估值。有多起電動汽車初創公司就如此，他們在SPAC交易中誤導投資者的事件引起高度關注，而這些公司的財務業績卻乏善可陳，也難怪最近幾個月，監管機構加強了對這一行業的審查。 電影《大賣空 (The Big Short)》原型、著名大空頭 Michael Burry在8月15日於推特上表示，美股現在正處在「歷史上最大的泡沫當中」。 Burry在推特上也說到：「人們總是會問我現在市場上發生了什麼，這很簡單，股市正處在有史以來最大的投機泡沫當中，規模達到兩個數量級。」他還標注了標籤「FlyingPigs360」。 「FlyingPigs360」這個推特標籤，是引用了投資領域中的一句名言「牛市賺錢，熊市賺錢，但豬會被宰殺」，以此警告投資者不要太過貪婪，不要當被宰殺的豬。Burry指出，投資者目前太過貪婪，瘋狂投機，承擔太多風險，並追逐不切實際的回報。 Burry 在 4 月初時就曾對特斯拉、 GameStop、比特幣、狗狗幣、Robinhood、特殊目的收購公司 (SPAC)、通貨膨脹和整體股市發出警告，他將比特幣、電動車和迷因股 (meme) 的炒作與網路泡沫和房地產泡沫相比，並在今年初時警告表示，美股正在「刀刃上跳舞」。 有「商品大王」之稱的著名投資人羅傑斯 (Jim Rogers) 在先前也警告表示，圍繞熱門股票的炒作、散戶投資熱潮，以及 SPAC 借殼上市公司數量大增，都表明了美股泡沫正愈來愈大。如果買入了泡沫股票，投資者可能永遠都不會賺到錢。 另一方面，羅傑斯也指出，債券市場肯定也處於泡沫之中。他看好黃金和白銀的價格上升，並且有興趣購買中國股票，因為比美國和大多數其他國家的股票更便宜。 我怎麼看呢？ 現在的資本市場，從QE到紓困刺激方案，資金的確太多。資金當然會追逐有利可圖的目標，我承認，豬牛都上身當然不對的，但如果不錯的公司因為有了SPAC，使IPO的效應變2021-09-0716 min

天下文化‧相信閱讀EP14│聯準會前主席葉倫可望接任美國財政部長；全球財經界最紅的四個字母，也是這波全球資金浪潮的怪現象：SPAC，你知道是什麼嗎?一週財經聚焦 一、1/23，美國參議院財政委員會，以26票全票通過任命聯儲局前主席Janet Yellen為財長的確認程序，有關提名將會送交參議院全體表決，若果葉倫的提名得到通過，葉倫將成為美國首位擔任財長的女性。我想和大家談談她就任後的貿易、美元與虛擬貨幣議題。 國際媒體相關報導 ●CNBC：〈Janet Yellen's nomination as first female Treasury secretary clears key Senate hurdle Janet Yellen〉(成功被提名為財政部長，這樣一個首位女性財政部長，清除了參議院的主要障礙) ●日經：〈Yellen vows 'full array of tools' to curb China's abusive practices〉(Yellen 宣示將使用所有武器，遏制中國的濫用權利) 拜登的財政部門把北京視為最重要的策略競爭對手 ●華爾街日報：〈Yellen to Make Clear U.S. Doesn’t Seek Weak Dollar〉(Yellen 明確宣示不會刻意追求弱勢美元) 在參議院聽證會上，準財政部長表示將讓市場決定美元走勢) 分析解讀 美國聯邦參議院財政委員會1月22日一致通過葉倫出任財政部長的人事案，意味她週一（25日）將可輕鬆獲得參院全院同意，成為美國首位女性財長。 在上周參議院人事聽證會期間，葉倫表示，拜登政府將全面檢視前總統川普對中國大陸貿易政策，包括中國執行美中第一階段貿易協議的程度。各界也認為，拜登政府會繼續保持對中國加徵關稅。 現年74歲的葉倫，需要推行的計畫包括調高最低工資、大幅擴大加給薪的事假和病假等內容，而這些社會安全項目已引起共和黨反對。 以下是我認為葉倫即將面對的其他關鍵問題： 第一，赤字財政 葉倫將呼應拜登，以舉債成本便宜為由，強調目前正是增加公共開支以振興經濟的良機。但葉倫勢必受到質疑，債務即將超過GDP的100%，安全限度到底在哪裡。根據講稿，她將承認自己瞭解「美國的債務負擔」。 第二，匯率政策和匯率報告 在美國的匯率政策上，葉倫多年來態度不一，有時候甚至直接支持弱勢美元。現在她可能面臨一些壓力，要她恢復支持強勢美元；但她過去也曾強調美元走強。 第三，美中貿易關係 財政部不直接負責貿易談判，但通常會參與其中，而且財政部長過去一直是領銜與中國對話的經濟官員。目前尚不清楚拜登政府是否計劃恢復某種形式的定期對話，以及葉倫在此框架中的角色。 第四，監管和稅收 財政部長通常在金融監管和稅收政策方面舉足輕重，預計拜登政府將加強對金融機構的監管，並且已承諾將撤回川普的許多減稅措施。 此外，葉倫還將擔任金融穩定監督委員會的負責人，這是一個旨在監控金融風險的跨部門機構。她可能被問到加強監管權的問題，以及氣候變化是否會成為監管新領域。 我特別注意三個重點，分別是美元、貿易政策和虛擬貨幣。 美國準財長葉倫已明白表示，弱勢美元並非世界末日，且美國必須努力對抗中國大陸勢力。這顯然表示前總統川普卸任後，並未人去政息，葉倫仍將延續川普的某些政策路線。 葉倫在參議院的證詞中，刻意避開了「強勢美元」的措辭，不想被冠以「弱勢美元」來強化貿易競爭力的帽子，但她也暗示，如果市場力量導致美元貶值，她也不反對。你看，技術官僚的措辭已經出現。 針對中國大陸，葉倫的證詞更是直白，「我們必須對付中國的濫用、不公且非法的行為。中國藉由傾銷產品，設置貿易障礙，以及對企業提供非法補貼，來侵害美國企業；中國一直在竊取智慧財產，並從事一些使中國取得不公平科技優勢的行為，包括強制技術轉移等。且我們對這些行為，包括中國的廉價勞工及環保標準等，正準備使用全方位的工具來因應」。這意味對亞洲投資人而言，美國的關鍵政策與前朝政府相比，可能不會有太大改變。 對於虛擬貨幣，葉倫曾經在19 日參議院財政委員會（Senate Finance Committee）舉行的遠距聽證會表示，因應恐怖份子洗錢的問題時，方法必須隨科技的演變與時俱進，虛擬貨幣是尤其需要關注的問題。 葉倫說，就她所知，許多虛擬貨幣多少都會用來非法轉帳，當局應設法阻撓，確保違法者無法透過這些管道洗錢。 果不其然，葉倫此言一出，比特幣馬上走弱。我個人認為，比特幣的暴漲，反應的是全球資金浮濫下，比特幣奇貨可居的一個資產荒現象，即便很多國家包括中國都在研擬虛擬貨幣，但比特幣要成功需要政府的支持，否則很有可能曇花一現。 二、當今全球財經界最紅的四個字母，也是這波全球資金浪潮的第一怪現象：S PAC。 根據Dealogic 數據，2020 年美國 SPAC 募資金額高達 820 億美元，較 2019 年大增了 6 倍以上。全球大型銀行爭相追逐 SPAC 熱潮，Credit Suisse Group (瑞士信貸集團)和Citigroup (花旗集團)為 2020 年前兩大 SPAC 承銷商，其次是Goldman Sachs Group (高盛集團)。 國際媒體相關報導 ●華爾街日報：〈When SPACs Attack! A New Force Is Invading Wall Street.〉(SPAC新勢力入侵華爾街) 被稱為SPAC的「空白支票」公司正在追求美國最熱門的初創公司。 這是不是表明市場榮景難以持續？ ●CNBC：〈Goldman says the SPAC boom will continue and found a way to spot ones that may outperform〉(高盛說SPAC榮景將可以持續，而且將走出一條讓人眼睛一亮的路徑) ●倫敦金融時報：〈Singapore steps up bid to become Asia Spacs hub〉(新加坡政府決定，押注自己成為亞洲SPAC金融中心) 新加坡交易所SGX， 希望「空頭支票」公司可以抓住亞洲科技初創公司的大量融資機會 分析解讀 現在全球財經界最熱門的四個字母「SPAC」，已經成為全球私人企業最喜歡的融資來源。Richard Branson 的企業「維珍銀河控股有限公司」（Virgin Galactic Holdings Inc.）最早在2019年通過SPAC上市，而體育賭博公司DraftKings Inc.去年也循同樣方式上市。現在有近300個SPAC正在尋求上市，它們擁有大約900億美元的現金，瘋狂地推出越來越多產品，甚至有ETF。目前為止，每天平均推出了五個新的SPAC產品。 什麼是SPAC？SPAC又稱空白支票公司（blank check companies），簡單來說，是一個沒有營運資金的空殼企業，存在的唯一目的，是在2年內收購另一間未上市企業。 SPAC的創辦人在上市前會有一個未公開發行的收購目標，而為彌補投資前的資訊不明，SPAC發行股票時，通常以投資單位為購買基礎，類似購買共同基金，1 單位為 10 美元，同時也給予定量權證，開放投資人在一定時間內以固定價格收購更多股票。且因為是空殼公司，所以在SPAC收購企業前，股票不太會有劇烈改變。如果無法在規定時間內完成收購手續，股東可以連本帶息收回投資的金額。 如果成功收購未上市公司，則無需經過上市程序，就能直接成為那史達克掛牌上市公司，省去了寫上市報告書、來回簡報、審查的過程。難怪SPAC一時之間蔚為風潮，投資人趨之若鶩。 2020年，由於新創企業透過 SPAC上市熱度大增，帶來高額獲利空間，所以SPAC承銷開始在華爾街大受歡迎。 SPAC上市數量成長快速，2016 年所有 SPAC 只募得32億美元，但在2019 年，融資總數卻達到136億美元，3年內成長4倍以上。此外，美國2020年1月至8月初，就有超過50家企業透過SPAC方式上市，目前已取得215億美元。 解讀這現象很容易，傳統的IPO邏輯，就是你做好了我就給你錢，而SPAC是我先給你錢你再去做好。從這個邏輯的顛覆，就可以知道現在的錢有多麼的不值錢。 當然，傳統的金融專家仍認為傳統 IPO是金融市場的核心，也建議資金充足、品牌著名的大型企業，透過傳統 IPO 模式上市上櫃；但 SPAC卻能更有效的服務需要迅速上市的公司，使能敏捷應對市場熱潮的新創公司或企業，在掌握初步技術或市場優勢時就能迅速上市，獲得即時的資金挹注，提升商業規模。 SPAC的優勢，在於能降低企業上市的申請門檻、更迅速募集營運資金，更能使1年以上的上市準備時間縮短至數個月，解決了過往 IPO 上市手續緩慢、準備門檻高等挑戰。 雖說SPAC正處熱潮風口，但從過去6年的投資數據來看，可看出 SPAC 也並非完美無缺。統計指出，從美國2015年至2020年10月的313家SPAC中，只有93間企業完成收購，成功率不到30%。此外，這93間SPAC的平均損失為-9.6%，中位數回報率（median return）是-29.1%，而若只看成功取得收益的SPAC，平均市場後回報率（average aftermarket return）僅 31.3%，也比傳統 IPO的47.1%來得少，且數量只有29間。 總之，美國銀行（BofA）13日發布報告指出，未來十年想實現全電動車轉型目標，至少需要2.5兆美元，而電動車企業透過SPAC借殼上市(融資)，將成為重要募資管道，未來幾年預估將出現更多案例。 美銀指出，截至目前為止，電動車製造商透過這種借殼上市方式，共募集到超過60億美元。儘管此數字與2.5兆美元仍有一大段距離，但從近日掀起SPAC熱潮來看，市場上仍有不少資金等著參與這場「電動車革命」。 SPAC並未推出商品或服務、也沒有長期商業計畫，成立目的在於募集資金以併購其2021-01-2615 min

比爾的財經廚房#125談食材⎪什麼是SPAC？借殼上市？最近SPAC這個詞頻繁的出現在我的面前，在新聞中不斷地看到SPAC相關的消息，可見真的是非常的熱門。所謂的SPAC其實是「特殊目的併購公司」(Special Purpose Acquisition Company)的簡稱，是一種美國證券市場獨有的金融工具。它的存在已經有二十年以上的時間，在這二十年期間，他有幾次的起伏，也產生過許多的爭議。而整個操作過程，簡單來說，就是發起人設立新公司，這個發起人也可以是個人，可也是機構，也可以機構和個人的組合。跟傳統的IPO一樣，由一家無商業模式的空殼公司，向美國證監會提交IPO招股說明書，載明掛牌目的是募得一筆資金，再轉頭去收購有商業模式、前景可期、值得公開上市的企業。在IPO招股說明書生效之後進行Roadshow、融資完成後，他有12~24個月的時間完成對目標公司的收購。換句話說，就是一種反向IPO。然而，先前我對這個類型的上市作法也是不太熟悉的，今天我們就一起來看看，這種上市的方式有什麼特殊之處，他各自有怎樣的優點與缺點？
